In these Terms, “MorrowApp,” “we,” “us,” and “our” refer to Kateryna Zakharova as the operator of MorrowApp, unless the context requires otherwise.

1. Acceptance of these Terms

These Terms and Conditions (“Terms”) govern your access to and use of MorrowApp, including the mobile application, websites, backend services, APIs, media storage and delivery, feeds, discovery features, profiles, comments, interactions, and related features (collectively, the “Service”).

By creating an account, clicking or otherwise indicating acceptance, accessing, or using the Service, you agree to be bound by these Terms. Your use of the Service is also subject to our Privacy Policy and any additional policies or community standards that we publish and expressly make applicable to the Service.

If you do not agree to these Terms, do not create an account or use the Service.

2. Eligibility and minimum age

You may use MorrowApp only if:

  • you are at least 16 years old;
  • you can legally enter into and comply with these Terms;
  • you provide accurate account information;
  • you are not prohibited from using the Service under applicable law; and
  • we have not previously terminated your account for a serious violation, unless we have expressly authorized your return.

By creating an account, you represent that you meet the minimum-age requirement. We may use age-assurance measures, request information reasonably necessary to verify eligibility, or suspend or delete an account where we reasonably believe the user does not meet the applicable minimum age.

If applicable law in your country or region requires a higher minimum age, parental involvement, age assurance, or other conditions, you may use the Service only if those requirements are satisfied.

3. Accounts and security

You are responsible for:

  • providing accurate and current account information;
  • keeping your login credentials and devices secure;
  • activity that occurs through your account, except to the extent caused by circumstances for which responsibility cannot legally be assigned to you;
  • promptly notifying us of suspected unauthorized access, account compromise, impersonation, or other security concerns.

Authentication is handled through Clerk and may also involve Apple, Google, GitHub or other sign-in providers where those options are enabled. Those providers may process authentication data under their own terms and privacy policies.

You may not sell, rent, transfer, share, or permit unauthorized use of your account. We may suspend, restrict, or secure an account if we reasonably believe it is compromised, fraudulent, abusive, unlawful, or being used in violation of these Terms.

4. MorrowApp intellectual property and license to use the Service

The Service, including its software, source code, object code, interfaces, design, branding, logos, graphics, databases, organization, and other materials created by or for MorrowApp, is owned by MorrowApp or its licensors and is protected by applicable intellectual-property laws.

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for lawful purposes through the functionality we make available to you.

You may not, except where applicable law expressly permits otherwise:

  • copy, modify, distribute, reverse engineer, decompile, disassemble, or attempt to extract source code from the Service;
  • sell, rent, lease, sublicense, resell, or commercially exploit the Service without written permission;
  • interfere with, damage, overload, disable, or disrupt the Service;
  • scrape, crawl, harvest, index, or bulk collect data or User Content by automated means without written permission;
  • bypass access controls, privacy settings, rate limits, authentication, moderation systems, or security measures;
  • use bots, scripts, or automated accounts in an abusive, deceptive, or unauthorized manner;
  • use the Service or its data to build a competing service or train, fine-tune, evaluate, or improve machine-learning or artificial-intelligence models without written permission;
  • misrepresent an affiliation with MorrowApp or imply endorsement that we have not given.

All rights not expressly granted are reserved.

5. User Content, ownership, content rights, and license

“User Content” means any content, material, information, or communication that you upload, publish, submit, send, display, transmit, or otherwise make available through MorrowApp, including profile information, avatars, usernames, biographies, posts, captions, summaries, articles, photographs, images, illustrations, videos, audio, comments, communications or messages where available, saved collection names or descriptions, reports, links, and other materials.

Your ownership

You retain ownership of any intellectual-property rights that you hold in your User Content. MorrowApp does not claim ownership of your User Content merely because you upload or share it through the Service.

Your responsibility for content rights

You are solely responsible for your User Content and for ensuring that you have all rights, licenses, permissions, consents, releases, and legal authority necessary to upload, publish, display, distribute, transmit, and otherwise make that User Content available through MorrowApp.

By uploading, publishing, submitting, transmitting, or otherwise making User Content available through the Service, you represent and warrant that:

  • you own the User Content or have obtained all licenses, permissions, consents, releases, and other rights necessary to use and share it through MorrowApp;
  • you have the legal authority to grant MorrowApp the license described in these Terms;
  • MorrowApp's hosting, storage, processing, reproduction, formatting, transcoding, caching, display, publication, distribution, and transmission of your User Content as contemplated by these Terms will not infringe or violate the copyright, trademark, patent, moral rights, privacy rights, publicity rights, contractual rights, confidentiality rights, or other rights of any person or entity;
  • where your User Content contains another person's image, likeness, voice, performance, personal information, or other protected material, you have obtained any consent or authorization required by applicable law;
  • your User Content does not contain material copied, downloaded, recorded, extracted, scraped, or obtained from another person, platform, website, application, publisher, broadcaster, streaming service, or other source unless you have the necessary rights or are otherwise legally permitted to use and share that material;
  • your User Content complies with applicable law and these Terms in every country or region in which it is made available through the Service.

You must not falsely represent that you own or are authorized to use content belonging to another person.

License granted to MorrowApp

By providing User Content through the Service, you grant MorrowApp a worldwide, non-exclusive, royalty-free license, with the right to sublicense solely to hosting providers, content-delivery networks, storage providers, authentication providers, contractors, and other service providers as reasonably necessary to operate the Service, to:

  • host and store the User Content;
  • reproduce and make technical copies of the User Content;
  • resize, crop, compress, encode, decode, transcode, format, cache, and otherwise technically process the User Content;
  • display, publish, transmit, communicate, distribute, and make the User Content available through the Service, including in profiles, feeds, discovery, search, reposts, previews, notifications, and other features consistent with your settings and the Service's functionality;
  • generate thumbnails, previews, feeds, notifications, and other technical representations of the User Content;
  • moderate, review, investigate, restrict, preserve, and remove User Content where permitted or required by these Terms or applicable law;
  • protect the safety, security, integrity, and lawful operation of the Service.

This license is limited to purposes reasonably connected with operating, providing, securing, maintaining, moderating, and improving MorrowApp. We will not use private User Content in external advertising or promotional materials without separate permission, except where you expressly authorize such use.

Duration of the license

The license granted under this section ends when the applicable User Content is deleted from the Service, except where:

  • copies remain temporarily in backups, caches, logs, or disaster-recovery systems;
  • retention is reasonably necessary for security, fraud prevention, investigation, moderation, enforcement, dispute resolution, or legal compliance;
  • applicable law requires or permits continued retention;
  • the content has been independently copied, shared, quoted, reposted, downloaded, or otherwise retained by another user or third party outside MorrowApp's reasonable control.

No endorsement of User Content

MorrowApp does not create, author, direct, control, approve, endorse, sponsor, or guarantee User Content merely because that content is hosted, stored, processed, displayed, distributed, recommended, or otherwise made available through the Service.

MorrowApp does not review or verify the ownership, accuracy, legality, or authorization of every item of User Content before publication and cannot guarantee that no user will ever upload infringing, unlawful, harmful, or unauthorized material.

Where MorrowApp becomes aware of content that it reasonably believes infringes another person's rights, violates applicable law, or breaches these Terms, MorrowApp may remove, restrict, disable access to, preserve, or investigate that content and may suspend or terminate the responsible account.

6. Prohibited content and conduct

MorrowApp does not permit pornography, graphic sexual content, sexual exploitation, nudity, partial nudity, non-explicit depictions of sexual behavior, prolonged graphic or sadistic violence, extreme gore, threats, harassment, or other seriously harmful or unlawful content.

You must not use MorrowApp to create, upload, publish, send, transmit, display, distribute, promote, solicit, or otherwise make available content or conduct described below.

A. Sexual content, nudity, and exploitation

  • pornography, graphic sexual content, or explicit depictions or descriptions of sexual organs or sexual activity intended primarily for sexual arousal;
  • nudity, partial nudity, or non-explicit depictions of sexual behavior;
  • content that depicts, promotes, requests, solicits, or facilitates sexual services, prostitution, trafficking, or sexual exploitation;
  • content that sexualizes, exploits, endangers, grooms, or otherwise harms a minor;
  • sexual content involving a minor or a person presented as a minor;
  • child sexual abuse or exploitation material, or content that requests, distributes, promotes, or facilitates such material;
  • non-consensual intimate imagery, sexually explicit material distributed without the depicted person's consent, or threats to create or distribute such material;
  • sexual violence, rape, sexual assault, coercion, or sexual abuse depicted or described for exploitation, arousal, glorification, or shock;
  • solicitation of sexual material from minors or attempts to establish inappropriate sexual contact with minors.

B. Extreme, graphic, or sadistic violence

  • prolonged, sadistic, gratuitously graphic, or shock-oriented depictions of torture, mutilation, dismemberment, killing, severe bodily injury, gore, or extreme physical suffering;
  • realistic visual depictions of people or animals being killed, maimed, tortured, or abused in a manner prohibited by MorrowApp's content policies or applicable platform requirements;
  • content that glorifies, celebrates, encourages, threatens, or meaningfully facilitates murder, torture, terrorism, severe physical abuse, or serious bodily harm;
  • graphic images or videos of dead bodies, severe injuries, mutilation, exposed organs, or comparable extreme gore;
  • content promoting cruelty to animals or deliberately depicting animal torture or extreme abuse for entertainment, shock, or glorification;
  • instructions intended to enable a person to seriously injure or kill another person.

Non-graphic discussion of difficult real-world events, history, news, conflict, public safety, or similar subjects may be permitted where lawful and consistent with these Terms, but MorrowApp may restrict or remove such material where necessary for safety, age-rating compliance, or platform requirements.

C. Weapons and dangerous conduct

  • content that encourages illegal or reckless use of firearms, weapons, explosives, or dangerous objects;
  • content that facilitates unlawful weapons transactions;
  • instructions intended to enable violent criminal conduct or intentional bodily harm;
  • credible threats of violence against another person or group.

D. Intellectual-property and unauthorized third-party content

  • content you do not own or are not legally authorized to use or share;
  • content that infringes or misappropriates another person's copyright, trademark, patent, moral rights, privacy rights, publicity rights, confidentiality rights, contractual rights, or other legal rights;
  • content unlawfully copied, downloaded, recorded, extracted, scraped, reproduced, or obtained from another person, website, platform, app, publisher, broadcaster, streaming service, or other source;
  • music, films, television programs, photographs, artwork, books, articles, broadcasts, software, trademarks, logos, performances, recordings, or other protected material used without the necessary authorization or another valid legal basis.

E. Other prohibited content and behavior

  • illegal content or conduct, or content that encourages, facilitates, or meaningfully assists illegal activity;
  • threats, harassment, bullying, stalking, intimidation, targeted abuse, or unwanted repeated contact;
  • hatred, violence, or unlawful discrimination against protected groups;
  • impersonation or material misrepresentation of identity, qualifications, or affiliation;
  • publication of private, confidential, or highly sensitive personal information without authorization;
  • malware, phishing, fraud, scams, spam, deceptive schemes, or manipulation;
  • content that encourages or glorifies suicide, self-harm, or dangerous behavior in a harmful manner;
  • content that exploits another person's death, injury, trauma, abuse, or vulnerability for harassment, shock, or humiliation;
  • content or conduct that interferes with the safe, lawful, or healthy operation of the Service or community;
  • conduct intended to evade moderation, account restrictions, blocks, bans, reporting tools, or safety systems.

The examples above are illustrative and are not exhaustive. MorrowApp may determine, acting reasonably and in good faith, that other content or conduct violates these Terms, applicable law, published community standards, safety requirements, age-rating requirements, or platform rules.

Where the Service provides a content-rating, sensitivity, or age-suitability field, you must use it accurately and must not intentionally mislabel, conceal, or circumvent age-related restrictions. This does not make otherwise prohibited content permissible.

7. Reporting, moderation, blocking, removal, and safety

MorrowApp provides mechanisms to report posts, accounts, or conduct where reporting tools are available. Users may also report content, rights violations, or safety concerns by contacting support@mrrwapp.com or, for intellectual-property and legal-rights complaints, legal@mrrwapp.com.

The Service may use automated tools, manual review, user reports, account restrictions, blocking tools, visibility controls, and other measures to reduce objectionable or prohibited content and abusive conduct.

MorrowApp will use reasonable efforts to promptly review sufficiently detailed reports of prohibited content or conduct. Where MorrowApp reasonably determines in good faith that content or conduct violates these Terms, applicable law, published community standards, age-rating requirements, or applicable platform requirements, MorrowApp will use reasonable efforts to promptly remove or restrict access to the content and may take further action against the responsible account.

Depending on the nature and severity of the issue, actions may include:

  • removal of content;
  • restriction of content visibility or distribution;
  • warning the user;
  • restricting account features;
  • allowing users to block abusive users through available Service controls;
  • temporary suspension;
  • permanent account termination;
  • preserving relevant records where reasonably necessary or legally required;
  • cooperating with lawful investigations;
  • reporting suspected unlawful activity to appropriate authorities where required or permitted by law.

Severe violations may result in immediate content removal, account restriction, suspension, or termination without prior warning.

MorrowApp does not promise or guarantee that:

  • every item of User Content will be reviewed before publication;
  • every violation will be detected immediately;
  • every report will result in removal, suspension, or a particular outcome;
  • prohibited content will never appear on the Service;
  • harmful conduct by another user can always be prevented;
  • content can always be removed before another person views, copies, records, downloads, screenshots, or shares it.

The presence of User Content on the Service does not mean that MorrowApp has reviewed, approved, adopted, sponsored, or endorsed that content. A delay or failure to identify or remove particular content does not constitute approval or endorsement of that content.

Nothing in these Terms requires MorrowApp to publicly disclose confidential moderation decisions, investigative methods, safety systems, information about other users, or information whose disclosure could compromise privacy, security, fraud prevention, law enforcement, legal obligations, or the integrity of the Service.

8. Public profiles, private profiles, and risks of sharing

Some User Content may be public or visible to other users according to the Service's features and your settings.

Private profile settings are designed to limit who can access content through the Service, but no privacy setting can guarantee that an authorized or unauthorized viewer will not screenshot, record, copy, download, reproduce, or share content outside MorrowApp.

MorrowApp does not control what another user or third party does with content after that person obtains access to it. To the maximum extent permitted by applicable law, MorrowApp is not responsible for independent actions taken by users or other third parties, including unauthorized copying, recording, republication, disclosure, misuse, harassment, threats, fraud, or other unlawful conduct.

Do not upload or share content that you need to keep secret or that you do not have permission to share.

9. Intellectual-property and other rights complaints

MorrowApp respects intellectual-property, privacy, publicity, and other legal rights and requires users to do the same.

If you believe that content available through MorrowApp infringes your copyright, trademark, privacy, publicity, or other legal rights, submit a complaint to legal@mrrwapp.com.

Your complaint should include, where reasonably applicable:

  • your full name and contact information;
  • identification of the copyrighted work, trademark, protected material, or other right you claim has been infringed;
  • identification of the allegedly infringing content, including any relevant username, post, URL, screenshot, or other information reasonably sufficient to locate it;
  • an explanation of why you believe the use is unauthorized or unlawful;
  • a statement that the information in your complaint is accurate and that you are the rights holder or are authorized to act on behalf of the rights holder;
  • any additional information reasonably necessary to evaluate the complaint.

MorrowApp may request additional information where reasonably necessary to evaluate a complaint and may share relevant portions of a complaint with the user who provided the disputed content, subject to applicable law and legitimate privacy or safety concerns.

Upon receiving a sufficiently detailed complaint, MorrowApp may investigate and, where appropriate, remove or restrict access to the reported content while the matter is reviewed.

Where MorrowApp reasonably determines in good faith that content infringes another person's rights, violates applicable law, or breaches these Terms, MorrowApp may:

  • remove or disable access to the content;
  • restrict its visibility or distribution;
  • notify the user who provided the content;
  • request evidence of ownership, authorization, license, consent, or another legal basis;
  • issue a warning;
  • restrict account functionality;
  • suspend or terminate the responsible account;
  • preserve relevant records where reasonably necessary or legally required.

MorrowApp may remove content without prior notice where reasonably necessary to address apparent infringement, unlawful material, safety concerns, legal obligations, platform requirements, or serious violations of these Terms.

Repeat infringement

MorrowApp may suspend or terminate accounts belonging to users who repeatedly infringe, or are reasonably believed to repeatedly infringe, the intellectual-property or other legal rights of others. Serious or deliberate infringement may result in immediate suspension or termination without prior warning.

No guarantee of pre-screening

MorrowApp does not promise to verify the ownership, licensing status, authenticity, legality, or authorization of every item of User Content before publication. The presence of User Content on MorrowApp does not mean that MorrowApp owns, endorses, approves, or independently verifies that content.

10. No professional advice or safety-critical reliance

MorrowApp is a social platform. User Content may be inaccurate, incomplete, misleading, offensive, disturbing, inappropriate, harmful, or unlawful.

MorrowApp does not endorse User Content and does not guarantee its accuracy, safety, lawfulness, reliability, completeness, or suitability for any purpose.

You access and rely on User Content at your own risk, subject to rights or remedies that cannot legally be excluded. Do not rely on MorrowApp or User Content for emergency, medical, legal, financial, safety-critical, or other professional advice. In an emergency, contact appropriate emergency services or a qualified professional.

MorrowApp is not responsible for decisions or actions taken by users based on statements, advice, claims, recommendations, representations, or other content provided by other users, except to the extent responsibility cannot legally be excluded.

11. Availability, backups, and changes to the Service

MorrowApp is an evolving service. We may add, change, suspend, limit, or discontinue features, content formats, storage limits, account types, or other parts of the Service where reasonably necessary for operation, security, legal compliance, platform compliance, or product development.

We do not guarantee that the Service will always be available, uninterrupted, secure, error-free, or compatible with every device or network. Support, uptime, backups, data export, and recovery features may be limited, and we do not guarantee recovery of any particular data except where required by applicable law.

Where reasonably practicable, we may provide notice of material discontinuations or changes that significantly affect users, but emergency, security, legal, or platform-driven changes may occur without advance notice.

12. Third-party services and service providers

MorrowApp uses or may use third-party providers for authentication, infrastructure, hosting, storage, content delivery, security, analytics, communications, app distribution, and other operational functions, including services such as Clerk, Amazon Web Services, Cloudflare, Apple, and other providers.

Your direct use of independent third-party services may be subject to their own terms and privacy policies.

To the maximum extent permitted by law, MorrowApp is not responsible for failures, outages, acts, omissions, or independent practices of third-party services outside our reasonable control. Nothing in these Terms excludes or limits any responsibility that MorrowApp has under applicable law for service providers that process personal information on our behalf or for obligations that cannot legally be waived.

13. Account suspension and termination

You may stop using MorrowApp at any time.

We may restrict features, suspend, or terminate your account or access to the Service if we reasonably believe that:

  • you violated these Terms or an applicable published policy;
  • your account is compromised or creates a security risk;
  • your activity is abusive, fraudulent, unlawful, deceptive, or harmful;
  • your User Content infringes another person's rights;
  • we are required or reasonably directed to act by law, court order, law enforcement, an app marketplace, infrastructure provider, or other competent authority;
  • continuing to provide the Service to you would create material legal, security, operational, or safety risk;
  • continuing to provide the Service is no longer reasonably practical.

Serious violations may result in immediate action without prior warning. Where appropriate and reasonably practicable, we may provide notice or an opportunity to respond.

Termination does not affect rights or obligations that accrued before termination or provisions that by their nature are intended to survive.

14. Account deletion and data retention

You may initiate deletion of your MorrowApp account through the account-deletion controls available in the app.

When you validly request account deletion, MorrowApp will delete or de-identify your account and the data associated with it, including personal data and User Content associated with your account, except where retention is reasonably necessary or permitted for:

  • legal obligations or lawful requests;
  • security, fraud prevention, abuse prevention, and account integrity;
  • investigations, moderation, enforcement, and dispute resolution;
  • protection of the rights, safety, and security of users, MorrowApp, or others;
  • the establishment, exercise, or defense of legal claims;
  • other purposes permitted or required by applicable law.

Certain information may remain temporarily in backups, caches, disaster-recovery systems, or logs and will be deleted, overwritten, de-identified, or isolated in accordance with applicable retention practices and legal requirements.

Content previously copied, quoted, reposted, downloaded, or shared by other users or third parties may remain outside MorrowApp's reasonable control. Where technically and legally appropriate, some residual records may be de-identified rather than deleted.

15. Disclaimers

To the maximum extent permitted by applicable law, the Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, or security.

MorrowApp is a platform through which independent users may create, publish, distribute, view, and interact with User Content. Users act independently and are responsible for their own content, communications, behavior, actions, omissions, and interactions.

To the maximum extent permitted by applicable law, MorrowApp does not assume responsibility for:

  • User Content created or provided by another person;
  • statements, representations, advice, opinions, claims, or allegations made by users;
  • unlawful, offensive, inaccurate, misleading, defamatory, threatening, violent, sexual, explicit, infringing, or otherwise prohibited content posted by users in violation of these Terms;
  • interactions, communications, transactions, meetings, disputes, or relationships between users;
  • independent criminal, fraudulent, abusive, negligent, reckless, or otherwise wrongful conduct by a user or third party;
  • another person's unauthorized copying, recording, sharing, distribution, or misuse of User Content;
  • emotional distress, offence, embarrassment, reputational harm, or other injury allegedly arising from exposure to or interaction with third-party User Content, except where liability cannot legally be excluded.

MorrowApp does not guarantee that:

  • the Service will meet your expectations;
  • User Content will be accurate, safe, lawful, or suitable;
  • prohibited content will never be uploaded or published;
  • every violation will be detected before another user sees it;
  • every report will be resolved in a particular manner;
  • objectionable content will always be removed immediately;
  • users will comply with these Terms or applicable law;
  • all bugs, security issues, moderation failures, or data loss can be prevented;
  • private content will never be copied, recorded, or shared by another person.

Nothing in these Terms excludes warranties, rights, remedies, duties, or liabilities that cannot legally be excluded.

16. Limitation of liability

To the maximum extent permitted by applicable law, MorrowApp's operator, contributors, contractors, service providers, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, loss of data, loss of opportunity, reputational harm, emotional distress, business interruption, or unauthorized access arising out of or relating to the Service.

Without limiting the foregoing, and to the maximum extent permitted by applicable law, MorrowApp will not be liable for losses, damages, injuries, claims, or liabilities arising from or relating to:

  • User Content created, uploaded, published, transmitted, or shared by another user;
  • a user's violation of these Terms or applicable law;
  • sexual, violent, graphic, offensive, defamatory, fraudulent, threatening, abusive, infringing, or otherwise prohibited content uploaded by a user in violation of these Terms;
  • criminal, tortious, fraudulent, negligent, reckless, abusive, or otherwise wrongful acts or omissions of users or third parties;
  • communications, interactions, disputes, meetings, relationships, or transactions between users;
  • another user's unauthorized copying, sharing, recording, disclosure, or misuse of content or information;
  • reliance on User Content;
  • a delay in detecting, reviewing, restricting, or removing prohibited content, except to the extent liability cannot legally be excluded.

To the maximum extent permitted by applicable law, MorrowApp's total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of:

  1. CAD $100; and
  2. the total amount paid directly by you to MorrowApp during the twelve months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability for fraud, intentional misconduct, gross negligence where it cannot legally be excluded, or any other liability, right, or remedy that cannot be waived or limited under applicable law.

17. Indemnity

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless MorrowApp's operator, contributors, contractors, service providers, and affiliates from third-party claims, actions, demands, damages, liabilities, judgments, losses, penalties, costs, and reasonable legal expenses arising out of or relating to:

  • your User Content;
  • your communications or interactions with another person;
  • your unlawful, fraudulent, abusive, negligent, reckless, or otherwise wrongful conduct;
  • your material violation of these Terms;
  • your violation of applicable law;
  • your infringement, misappropriation, or violation of another person's intellectual-property, privacy, publicity, confidentiality, contractual, or other rights;
  • sexual, violent, graphic, exploitative, threatening, defamatory, infringing, or other prohibited content that you create, upload, publish, send, transmit, or distribute;
  • your misuse of another user's content, information, identity, or personal data.

This indemnity does not apply to the extent that a claim results from MorrowApp's own conduct for which liability cannot legally be excluded or shifted under applicable law.

18. Governing law and disputes

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law principles, except where mandatory laws in your country, province, state, or region require otherwise.

Subject to any mandatory consumer-protection, privacy, jurisdictional, or other rights you may have, disputes arising out of or relating to these Terms or the Service will be resolved in the courts located in Kitchener, Ontario, Canada.

Before starting a formal claim, you are encouraged to contact legal@mrrwapp.com and make a good-faith effort to resolve the issue informally. This does not prevent either party from seeking urgent relief, complying with a legal deadline, or exercising a right that cannot legally be restricted.

19. App marketplaces and third-party platform terms

If you download or access MorrowApp through the Apple App Store or another app marketplace, additional marketplace terms may apply to your download and use of the mobile application.

Unless MorrowApp separately provides a custom end-user license agreement through the applicable marketplace, any standard end-user license agreement imposed by that marketplace may apply separately to the licensed application. These Terms govern your use of the MorrowApp Service, your account, User Content, moderation, and the other matters described here.

Nothing in these Terms implies that Apple or any other app marketplace sponsors, endorses, or is responsible for User Content or MorrowApp's operation of the Service, except to the extent expressly provided by that marketplace's own terms or applicable law.

20. Changes to these Terms

We may update these Terms from time to time to reflect changes to the Service, legal requirements, safety practices, platform rules, or our operations.

The updated version will be posted at https://mrrwapp.com/terms and will identify the updated effective date.

If changes are material, we may provide notice through the app, by email, on the website, or by another reasonable method. Where applicable law requires advance notice or renewed consent, we will provide it.

Unless otherwise stated, updated Terms apply prospectively from their effective date. Your continued use of the Service after updated Terms become effective constitutes acceptance to the extent permitted by applicable law. If you do not agree to updated Terms, you must stop using the Service and may delete your account.

21. General legal terms

Mandatory rights

Nothing in these Terms excludes, restricts, or waives any right, remedy, warranty, duty, or liability that cannot lawfully be excluded, restricted, or waived.

Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be interpreted or limited to the minimum extent necessary to make it valid and enforceable where legally permitted, and the remaining provisions will continue in effect.

No waiver

A failure or delay by MorrowApp to enforce any provision of these Terms does not waive our right to enforce that or any other provision later.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. MorrowApp may assign or transfer these Terms in connection with a merger, reorganization, financing, sale of assets, transfer of the Service, or by operation of law, subject to applicable law and any mandatory rights you have.

Entire agreement

These Terms, together with any additional terms or policies expressly incorporated or made applicable to a particular feature, constitute the agreement between you and MorrowApp regarding the matters covered by them and supersede prior agreements or communications on those same matters.

Survival

Provisions that by their nature should survive termination will survive, including provisions concerning ownership, content rights, licenses to the extent necessary for retained copies, intellectual-property complaints, disclaimers, limitation of liability, indemnity, disputes, and general legal terms.

No agency

These Terms do not create a partnership, joint venture, employment, agency, franchise, or fiduciary relationship between you and MorrowApp.

Headings are for convenience only and do not limit the meaning of these Terms.
